Apple PLANS AuthenTec Merger and 2 Hot Stocks to Recognize

Bank of America Corporation (NYSE:BAC): Fidelity Investments is to begin a pricing service, which should make the nearly $800 billion securities lending market more transparent, reports the Wall Street Journal citing sources. The move is predicted to face opposition from rival Wall Street firms. Shares of Bank of America Corporation are trading 0.56% higher today.

Toyota Motor Corporation (NYSE:TM) claims it will invest $100 million in its Cambridge, Ontario plant to raise the output of its Lexus RX CUV, as an effort to lower the Yen’s impact on its bottom line. The Ontario factory is the only Toyota producer of the Lexus outside of Japan. Shares of Toyota Motor Corporation are trading 1.85% higher today.

Apple Inc. (NASDAQ:AAPL) revealed that it entered into an agreement and plan of merger with Apple (NASDAQ:AAPL) and its wholly owned subsidiary Bryce Acquisition Corporation. Each AuthenTec share will automatically be cancelled and converted into the right to receive $8.00 in cash, with no interest. The company is subject to customary “no-shop” restrictions on its ability to solicit alternative acquisition proposals from third parties and to provide information to and be ivolved in discussions with third parties concerning alternative acquisition proposals. On July 26, AuthenTec and Apple began its Intellectual Property and Technology Agreement. The IP Agreement gives Apple the rights for the acquisitions of non-exclusive licenses and certain other rights, with respect to hardware technology, software technology, and company patents. Apple is to pay the AuthenTec $20 million for the right to acquire these non-exclusive licenses as well as other rights. Apple will be given 270 days from the date of the IP Agreement to decide, in its sole discretion, whether or not to license particular hardware technology and patents and/or certain software technology and patents on a perpetual, non-exclusive basis for an aggregate sum of up to $115 million. Shares of Apple Inc. are trading 0.18% lower today.
